How it works
- Post-money is pre-money plus the raise.
- Pre-money shares are today's shares, plus any new pool, plus shares for converting SAFEs.
- Price per share is pre-money divided by pre-money shares.
- New investors get the raise divided by that price.
- A SAFE converts at the lower of two prices.
- Cap price is the cap divided by pre-money shares.
- Discount price is the round price times one minus the discount.
- The pool target is a share of the company after the round.
- A pool before the money comes from today's holders only.
- A pool after the money dilutes the new investors too.
- Each percentage is rounded to two decimals. Every column adds to 100%.
Questions founders ask
What is a cap table?
A cap table lists who owns shares in your company. It shows each holder's stake. It also shows how each round changes it.
How does an ESOP pool dilute founders?
A pool made before the money comes only from today's holders. A pool made after the money dilutes the new investors too. Use the timing your term sheet uses.
How does a SAFE convert in a priced round?
A SAFE converts into shares in your next priced round. It uses the lower of its cap price and its discount price. With neither, it buys at the round price.
