How it works
- The round price is pre-money over pre-money shares.
- Pre-money shares include the shares the SAFE gets.
- So new investors get the raise over post-money.
- A post-money SAFE's cap price is its cap over pre-money shares.
- A pre-money SAFE's cap price is its cap over today's shares.
- The discount price is the round price times one minus the discount.
- The SAFE takes the lower price. That gives it more shares.
- With no cap and no discount, it pays the round price.
- Each percentage is rounded to two decimals.
Questions founders ask
What is a post-money SAFE versus a pre-money SAFE?
A post-money SAFE counts its own money inside the cap. At the cap, it owns its amount over the cap. A pre-money SAFE leaves its money out of the cap. On the same terms, it owns a little less.
Does the cap or the discount apply?
Whichever gives the lower price per share. A lower price means more shares for the SAFE investor. The calculator shows which one applied.
Can an Indian startup issue a SAFE?
